These Website Terms of Use (“Terms of Use”) govern your access to and use of kleoshealthcare.com and any other website, page or online service operated by Kleos Health Inc. (“Kleos”, “we”, “us” or “our”) that links to them (together, the “Site”). By accessing or using the Site, you agree to these Terms of Use and to our Privacy Policy. If you do not agree, do not use the Site. Purchases are governed by our Terms and Conditions of Sale and Refund and Returns Policy.
1. Professional audience
The Site is intended for licensed healthcare and aesthetic professionals, clinics and businesses in Canada and the United States. Product information on the Site is provided for those professionals. The Site is not intended for consumers or for anyone under 18.
2. No medical advice
Content on the Site, including product descriptions, protocols, training materials, articles, blog posts, videos and testimonials, is general information for professionals. It is not medical, legal or regulatory advice, does not create a professional relationship with you or with any patient, and does not replace your own professional judgment or your own review of the laws and professional standards that apply to you. Products that Kleos identifies as cosmetics are described solely as topical cosmetics; see our Product Use and Regulatory Notice.
3. Product information and availability
We try to keep product descriptions, images, specifications, pricing and availability accurate and current, but errors and changes occur. Images are illustrative. Kleos may correct errors and change or discontinue products at any time without notice. Nothing on the Site is an offer to sell; every order is subject to acceptance by Kleos under the Terms and Conditions of Sale. Regulatory status and availability of products vary by country, province and state.
4. Testimonials and results
Any testimonial, review, before-and-after image or case description reflects the experience of the person who provided it. Results vary. They are not a promise of any outcome and must not be relied on as such.
5. Intellectual property
The Site and everything on it, including text, graphics, logos, images, videos, product names, trademarks, page design and software, are owned by or licensed to Kleos and are protected by Canadian, US and international copyright and trademark laws. KLEOS HEALTH, the Kleos logo and “We Know Healthcare” are trademarks (registered or unregistered) of Kleos Health Inc. You may view and print pages for your own professional evaluation of our products. You may not otherwise copy, reproduce, republish, distribute, modify, scrape, frame, create derivative works from, or commercially exploit any part of the Site without our prior written consent.
6. Acceptable use
You will not: use the Site for any unlawful purpose; attempt to gain unauthorized access to the Site, its servers or any connected system; introduce malware or interfere with the Site’s operation; use robots, scrapers or automated means to access the Site or collect content or data; impersonate any person; submit false information in any form; or use the Site to make claims about our products that are not supported by their labelling.
7. Submissions
If you send us comments, suggestions, questions or other material through the Site, you grant Kleos a perpetual, worldwide, royalty-free licence to use it for any purpose, and you confirm that you have the right to do so. Do not send us confidential information or information about patients or clients.
8. Third-party links and tools
The Site may link to third-party websites, payment pages, scheduling tools or social media. Kleos does not control and is not responsible for their content, availability, security or privacy practices. Your use of them is at your own risk and subject to their terms.
9. Disclaimer
THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ACCURACY, COMPLETENESS, CURRENCY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KLEOS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES AND AFFILIATES ARE NOT LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFIT, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE OR ITS CONTENT, OR YOUR RELIANCE ON IT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY. IF ANY LIABILITY IS FOUND NOTWITHSTANDING THIS SECTION, KLEOS’S TOTAL LIABILITY RELATING TO THE SITE WILL NOT EXCEED CAD 100.
11. Indemnity
You will indemnify and hold harmless Kleos and the persons listed in section 10 from all claims, losses, damages and costs (including legal fees) arising from your breach of these Terms of Use or your misuse of the Site or its content.
12. Governing law and disputes
These Terms of Use and any dispute relating to the Site are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario. You submit to the exclusive jurisdiction of the courts of Ontario sitting in Toronto, and waive any right to a jury trial and to participate in any class or representative action, to the extent permitted by law.
13. General
Kleos may change these Terms of Use at any time by posting the revised version on the Site; your continued use after a change is acceptance of it. If any provision is held unenforceable, the rest remain in force. Kleos’s failure to enforce a provision is not a waiver. The parties have requested that these Terms of Use be drawn up in English; a French version is available on the Site.
